  • Team Outsourcing and Staff Augmentation

Specific terms for each project are defined in individual project agreements or contracts.

3. Project Agreements

All development projects are governed by separate project agreements that define:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Intellectual property rights
  • Confidentiality obligations
  • Warranties and support

In case of conflict between these Terms and a project agreement, the project agreement shall prevail.

4. Intellectual Property

Our Property

The XEESOFT website, logo, branding, and proprietary tools remain our exclusive property. You may not use, copy, or distribute these without our written consent.

Client Property

Unless otherwise specified in a project agreement:

  • Upon full payment, clients receive ownership of custom code developed specifically for their project
  • We retain rights to reusable components, frameworks, and libraries developed independently
  • Open-source components remain subject to their respective licenses

5. Payment Terms

Payment terms are specified in individual project agreements. General terms include:

  • Payments are due as specified in the project agreement
  • Late payments may incur interest charges
  • Work may be suspended for overdue payments
  • All fees are non-refundable unless otherwise stated

6. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information, business strategies, or project details to third parties without your consent, except as required by law.

We expect clients to maintain confidentiality regarding our proprietary methods, tools, and pricing.

7. Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XEESOFT SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the total fees paid for the relevant services

This limitation applies regardless of the theory of liability.

9. Indemnification

You agree to indemnify and hold XEESOFT harmless from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these terms
  • Your violation of any third-party rights
  • Content or materials you provide to us

10. Termination

Either party may terminate services as specified in the project agreement. Upon termination:

  • Client pays for all work completed to date
  • We deliver all completed work product
  • Both parties return confidential information
  • Provisions that should survive termination remain in effect

11. Communication

By engaging our services, you agree to receive communications from us regarding:

  • Project updates and deliverables
  • Invoices and payment reminders
  • Important service announcements
  • Support and maintenance notifications

12. Third-Party Services

Our solutions may integrate with third-party services (cloud providers, APIs, etc.). We are not responsible for the availability, terms, or policies of these third-party services. Clients are responsible for obtaining necessary licenses and complying with third-party terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through good-faith negotiation, and if necessary, through binding arbitration or in courts of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated terms on our website. Continued use of our services after changes constitutes acceptance of the new terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
